Condition of Sale
All orders for Century Lighting are accepted and executed on the understanding that the purchaser is bound by the following conditions of sale all of which shall constitute a binding contract.
Prices and Discounts
The published prices of the company’s products are those ruling on the date of publication and are subject to alteration without notice. All goods will be invoiced at the prices and discounts current at the date of despatch.
At Century Lighting, we do our very best to calculate the most competitive prices possible which we then offer directly to our customers, hence we do not operate on a rebate system.
New Accounts
Where a credit account is desired, our standard credit account application form should be completed in full and sent to our accounts department, after completion of three proforma transactions. See our section on how to Open a New Credit Account. Sending us your Credit Account Application Form also serves as your confirmation that you have read these Standard Trading Terms and Conditions and agreed thereto.
Credit Terms and Payments
Unless a credit account has been agreed, payment for goods is to be made before delivery. Terms of payment for credit accounts are for payment in 30 days from date of invoice, otherwise strictly nett monthly.
Carriage
An order for goods to the value of £250 nett (before VAT) or over is dispatched carriage free to any part of mainland United Kingdom, but the company reserves the right to make a charge when special packing and carriage is required.
An order to the value of less than £250 nett (before VAT) may be charged packing and carriage. When special delivery arrangements are requested, special rates will be charged.
Packing
A charge is made when it is necessary to despatch goods in wooden crates or cases. No charge is made for any form of packing and no credit will be allowed in return.
Despatch
Any times quoted for despatch are to be treated as estimates only and the company shall not be liable for failure to despatch within such time unless the purchaser has suffered loss thereby and the amount payable in respect therefore shall be limited to amount so agreed to be paid. In all access whether a time for despatch be quoted or not, the time for despatch shall be extended by a reasonable period if delayed in despatch is caused by instructions or a lack of instructions from the purchaser or by industrial dispute or by any cause whatsoever beyond the company control.

Default
The company shall have the right to discontinue delivery and, also at it’s discretion, to determine the contact in respect of any undelivered goods if the customer defaults in payment.
Export
Goods purchased on the home market must not without previous consent be offered or sold for export and any enquiries or order for export must be placed directly with the export department of the company with the indication of country destination.
Design Alterations
The equipment, design, sizes, colours, etc may vary slightly in detail from illustration and descriptions as a result of improvements in design or changes in technique.
Century Lighting is constantly developing its products. All descriptions, illustrations, drawings in this publication present only general particulars and shall not form part of any contract. The right is reserved to change specification without prior notification or public announcement.
Reservation of Title
All goods delivered by the company to the customer to remain the property of the company until all debts due to the company from the customer are settled. The customer shall keep the goods supplied separate from the customer and third parties and property protected, insured and identified as the company’s property. The customer shall account to the company’s for all sale proceeds of the goods supplied and insurance proceeds, and shall keep all such proceeds separate from any monies or property of the customer and third parties. Until the goods have been paid for the company shall be entitled at any time to require the customer to return the goods to the company and if the customer fails to do so forthwith the company has the right to enter upon premises of the customer where the goods are stored and repossess the goods.
Legal Construction
These conditions of sale shall be constructed in accordance with the laws of England and if any question, dispute or difference shall arise between parties in respect of their interpretation, the same shall be referred to a single arbitrator in London under the provision of the arbitrators Act 1889 to 1934 or any statutory modification or re-enactment thereof which provisions shall also apply to the case of reference to a single arbitrator.
